Version 1.0. By completing registration, the Member declares that they have read and accepted these Terms, the Non-Circumvention and Non-Disclosure Agreement and the Privacy Policy.
1. Parties and purpose
1.1. The listings platform available at www.assessoriame.com.br/anuncios ("Platform") is operated by EISENBERG ASSESSORIA EMPRESARIAL LTDA, Brazilian corporate taxpayer ID (CNPJ) 39.390.236/0001-17, under the brand Assessoria ME ("Assessoria ME").
1.2. The Platform is a restricted environment for professionals and companies to post intentions to buy and sell commodities and assets, with the parties brought together exclusively by Assessoria ME.
1.3. Assessoria ME is not a party to transactions between Members, unless engaged under a specific agreement.
2. Registration and access
2.1. Access requires prior approval. Individuals submit their Client Information Sheet (CIS); legal entities submit their Know Your Customer (KYC) form, together with the documents requested.
2.2. Assessoria ME reviews each registration under its compliance criteria and may reject it without being required to state reasons.
2.3. Once approved, the Member receives by e-mail a temporary password valid for 48 hours, which must be changed on first access.
2.4. Credentials are personal and non-transferable. The Member is liable for all use made of them and must report any unauthorized access immediately.
3. Member representations
3.1. The Member represents that:
- the information and documents submitted are true, complete and up to date;
- they have the capacity and authority to act on their own behalf or on behalf of the company they represent;
- when acting as mandate holder or intermediary, they hold a valid mandate or authorization from the buyer or seller, and will present it upon request;
- the goods and funds involved are of lawful origin;
- neither they nor the company they represent appear on national or international sanctions lists (including UN, OFAC and European Union);
- they comply with Brazilian anti-corruption law (Law 12,846/2013) and anti-money laundering law (Law 9,613/1998), where applicable.
3.2. The Member undertakes to update their registration whenever there is a relevant change.
4. Profile
4.1. The Member may include a profile image, a description of their activity and their role: intermediary, mandate holder, buyer or seller.
4.2. The profile may not contain contact details (phone, e-mail, address, website, social media) or any information that allows direct contact.
5. Listings
5.1. Every listing is subject to approval by Assessoria ME before publication. Assessoria ME may reject, edit for compliance or remove listings at any time.
5.2. It is forbidden to list:
- contact details of the advertiser or third parties;
- products or assets without actual availability or without a mandate from their owner;
- goods of unlawful origin, under embargo or subject to sanctions;
- misleading or offensive content, or content that infringes third-party rights.
5.3. Publication of a listing does not guarantee that any transaction will take place.
6. Contact exclusively through Assessoria ME
6.1. Interest in a listing is expressed through the "I'm interested" button. Assessoria ME conducts the introduction and the negotiations between the parties.
6.2. It is forbidden to seek, exchange or pass on contact details with other Members outside Assessoria ME. Any breach constitutes circumvention and subjects the Member to the penalties of the Non-Circumvention and Non-Disclosure Agreement.
7. Remuneration of Assessoria ME
7.1. Access to the Platform is free of charge for the Member, unless otherwise notified.
7.2. Every transaction concluded between parties introduced through the Platform entitles Assessoria ME to remuneration, under the specific agreement for that transaction or, absent one, under the Non-Circumvention and Non-Disclosure Agreement.
8. Records and evidence
8.1. The Platform records the acceptance of these documents, logins, listing views and expressions of interest, with date, time and IP address.
8.2. The Member acknowledges these records as valid evidence of authorship, integrity and introduction, under article 10, paragraph 2, of Brazilian Provisional Measure 2,200-2/2001 and Law 14,063/2020.
8.3. Access logs are kept for at least 6 months (Law 12,965/2014, article 15) and, when they serve as evidence of introduction, for as long as the non-circumvention obligations remain in force.
9. Liability
9.1. Each Member is responsible for the content they publish and for their own due diligence on counterparties, products and terms.
9.2. Assessoria ME does not guarantee the quality, quantity, delivery, payment or legality of transactions between Members, except for what it undertakes under a specific agreement.
10. Suspension and termination
10.1. Assessoria ME may suspend or terminate the access of any Member who breaches these Terms, provides false information or engages in circumvention, without prejudice to applicable penalties.
10.2. The non-circumvention, confidentiality and remuneration obligations survive termination for the periods provided.
11. Intellectual property
11.1. The Platform's brand, layout and software belong to Assessoria ME. The Member authorizes the display on the Platform of the content and images they publish.
12. Amendments
12.1. Assessoria ME may amend these Terms, notifying the Member by e-mail or on the Platform. Continued access will require acceptance of the new version.
13. Language, governing law and disputes
13.1. These Terms exist in Portuguese and English. In case of discrepancy, the Portuguese version prevails.
13.2. Brazilian law applies. Disputes shall be resolved by arbitration, under the arbitration clause of the Non-Circumvention and Non-Disclosure Agreement, separately accepted during registration.
